Board Independence Standards

The Boards of Directors of TMX Group Inc., TSX Inc. and TSX Venture Exchange Inc. have adopted these independence standards for members of their respective Boards of Directors. These standards are derived from Multilateral Instrument 52-110 Audit Committees and also identify unique classes of individuals who are considered to have a material relationship with each of those entities who are therefore considered not to be independent from those entities. These standards may be amended from time to time with the prior approval of the Ontario Securities Commission (in the case of TMX Group Inc. and TSX Inc.) and the Alberta Securities Commission and the British Columbia Securities Commission (in the case of TSX Venture Exchange Inc.).
