The Capital Pool Company's ("CPC") Prospectus dated June 30, 2008 has been filed with and accepted by TSX Venture Exchange and the Autorité des marchés financiers, the Alberta, British Columbia, Manitoba and the Ontario Securities Commissions effective July 2, 2008, pursuant to the provisions of the Québec, Alberta, British Colombia, Manitoba and the Ontario Securities Act. The common shares of the Company will be listed and admitted to trading on TSX Venture Exchange, on the effective dates stated below.

The Company has completed its initial distribution of securities to the public. The gross proceeds received by the Company for the Offering are $512,350 (5,123,500 common shares at $0.10 per share).

Commence Date: The common shares will commence trading on TSX Venture Exchange at the opening on Friday, July 25, 2008.

Capitalization: Unlimited common shares with no par value of which 15,123,500 common shares are issued and outstanding.
