Excel India Growth & Income Fund (EGI.UN) To Trade On Toronto Stock Exchange

Excel India Growth & Income Fund (the “Fund”) - An application has been granted for the original listing in the Industrial category of up to a maximum of 19,166,667 transferable units ("Units"), of which up to 16,666,667 Units will be issued and outstanding, and up to 2,500,000 Units will be reserved for issuance upon completion of an initial public offering (the “Offering”).

Listing of the Units will become effective at 5:01 p.m. on Monday, May 25, 2015, in anticipation of the public offering closing on Tuesday, May 26, 2015. The Units, will be posted for trading at the opening on Tuesday, May 26, 2015 upon confirmation of closing.

Registrations of interests in and transfers of the Units will be made only through non-certificated interests issued under the book-entry only system of CDS Clearing and Depository Services Inc. (“CDS”). Units must be purchased, transferred and surrendered for retraction only through a CDS Participant. Upon purchase of any Units, the owner will receive only the customary confirmation.

Incorporation: The Fund is a closed-end investment fund established under the laws of the Province of Ontario and governed by a declaration of trust dated as of April 23, 2015.
Fiscal Year End: September 30
Nature of Business: The Fund has been created to invest in an actively managed, diversified portfolio comprised primarily of publicly-listed equity securities and investment grade fixed income securities, in each case, issued by entities located in India.
Transfer Agent & Registrar: Computershare Trust Company of Canada at its principal office in Toronto.
Distributions: The Fund intends to make monthly cash distributions to Unitholders of record on the last Business Day of each month (the “Distribution Record Date”). Distributions will be paid on or about the 15th Business Day following the Distribution Record Date for which the distribution is payable. The Manager, in consultation with the Sub-Adviser, will at least annually determine in January of each year an indicative distribution amount for the following 12 months based upon the prevailing market conditions and an estimate of distributable cash flow from the Portfolio for such year. The monthly cash distributions are initially targeted to be $0.04 per Unit ($0.48 per annum per Unit) representing an annual yield of 4.00% on the issue price.

The amount of distributions may fluctuate from month to month and there can be no assurance that the Fund will make any distribution in any particular month or months or that the distribution target will be met.
