TMAC Resources Inc. (TMR) To Trade On Toronto Stock Exchange

TMAC Resources Inc. (the “Company”) - An application has been granted for the original listing in the Mining category of 82,182,134 common shares of which 74,263,259 common shares will be issued and outstanding and 7,918,875 common shares will be reserved for issuance upon completion of a public offering (the “Offering”).

Listing of the common shares will become effective at 5:01 p.m. on Monday, July 6, 2015 in anticipation of the Offering closing on Tuesday, July 7, 2015. The common shares will be posted for trading at the opening on July 7, 2015 upon confirmation of the Closing of the Offering.

The common shares will be deposited with CDS Clearing and Depository Services Inc. (“CDS”) or its nominee through the non-certificated inventory system administered by CDS. A purchaser of common shares will receive only a customer confirmation from a registered dealer that is a CDS participant and from or through which the common shares are purchased.

The Company is subject to the reporting requirements of Section 501 of the TSX Company Manual.

Incorporation: The Company was incorporated under the Business Corporations Act (Ontario) on October 30, 2012, as amended by articles of amendment dated March 11, 2013, June 27, 2014 and June 25, 2015, respectively.
Fiscal Year End: December 31
Nature of Business: The Company is a mineral exploration and development entity, whose activities include the selection, acquisition, exploration, evaluation and development of precious metal resource properties. The Company’s current focus is developing the Hope Bay Project.
Transfer Agent & Registrar: Computershare Investor Services Inc., at its principal office in Toronto.
Dividends: The Company has not, since the date of its incorporation, declared or paid any dividends or other distributions on its shares, and does not currently have a policy with respect to the payment of dividends or other distributions. The Company does not generate any revenues and does not expect to generate revenues in the near future and as such the Company does not pay dividends and does not intend to pay dividends in the foreseeable future.
Public Offering: Pursuant to the terms of the Prospectus, BMO Nesbitt Burns Inc., CIBC World Markets Inc. and a syndicate of underwriters which includes Dundee Securities Ltd., GMP Securities L.P., National Bank Financial Inc., Scotia Capital Inc. and TD Securities Inc., as underwriters, are offering to the public 22,500,000 common shares at a price of $6.00 per common share.
