| Transaction: | Recently effected amalgamation (the "Qualifying Transaction") involving Mira VII Acquisition Corp. ("Mira VII"), a capital pool company listed on TSX Venture Exchange (Symbol: MVA.P), Mira VII Subco Inc., a wholly-owned subsidiary of Mira VII and Goodfood Market Inc. ("Goodfood"), a private corporation and pursuant to which Mira VII changed its name to Goodfood Market Corp. As a result of the Qualifying Transaction, Mira VII acquired all of the issued and outstanding common shares of Goodfood, such that it became a wholly-owned subsidiary of Mira VII. |
| Consolidation: | Immediately prior to completion of the Qualifying Transaction the common shares of Mira VII were consolidated on the basis of one-post consolidated common share for every 22.2222 common shares issued and outstanding immediately before the consolidation (the "Consolidation"). No fractional Mira VII common shares were issued pursuant to the Consolidation. Fractional entitlements were rounded. As a result of the Qualifying Transaction, shareholders of Goodfood will receive one common share of the Company after giving effect to the Consolidation for every Goodfood common share held immediately prior to the Qualifying Transaction. |
