Immediately subsequent to the closing of the Offering, THL / Cannae Investors LLC, one of the Company's existing shareholders controlled by Thomas H. Lee Partners, L.P. and Cannae Holdings, Inc., intends to purchase from the Company in a private placement US$100 million worth of Common Shares at the Offering Price.
