Nature of business:

The ETF seeks to replicate, to the extent reasonably possible and before fees

and expenses, the performance of the Fidelity Canada U.S. Dividend for Rising Rates Currency Neutral Index. This ETF invests primarily in dividend-paying equity securities of U.S. companies that have a positive correlation of returns to increasing 10-year U.S. Treasury yields and uses derivatives to try to minimize the exposure of currency fluctuations between the U.S. and Canadian dollars.

State Street Trust Company Canada at its principal office in Toronto.

Distributions:

Cash distributions on Units of the ETF will be made monthly. The Manager may, in its discretion, change the frequency of cash distributions, and will issue a press release if such a change is made, or the Manager may make additional distributions if determined to be appropriate. Distributions are not fixed or guaranteed.

Initial public offering:

100,000 Units will be issued at a subscription price of $25.00. The Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
