Nature of business:

The ETF seeks to replicate, to the extent reasonably possible and before fees and expenses, the performance of a United States cap-weighted equity index. Currently, the ETF seeks to replicate the performance of the Scientific Beta Desjardins United States RI Low Carbon Index, net of fees and expenses. Under normal market conditions, the ETF will primarily invest in large and mid-cap companies from the Scientific Beta United States Universe, while seeking to deliver a significant reduction in the weighted average carbon intensity of the ETF's portfolio and ensuring that all Constituent Issuers meet Pre-Determined ESG Standards.

Initial public offering:

300,000 Units will be issued at a subscription price of $20.00 per Unit. The ETF is authorized to issue an unlimited number of Units, each of which represents an undivided interest in the net assets of the ETF. Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
