Incorporation: The ETF is an exchange-traded mutual fund established under the laws of the Province of Ontario pursuant to the terms of the Declaration of Trust dated January 14, 2019.

Nature of business: The ETF seeks to replicate, to the extent reasonably possible and before fees and expenses, the performance of the CIBC Multifactor U.S. Equity Index, or any successor thereto. Under normal market conditions, the ETF will invest primarily in an equally weighted portfolio of U.S. equity securities that exhibit certain factor considerations related to value, momentum, low volatility and quality.

In respect of the Hedged Units, the ETF seeks to replicate, to the extent reasonably possible and before fees and expenses, the performance of the CIBC Multifactor U.S. Equity Index (CAD Hedged), or any successor thereto.
Transfer agent and registrar: TSX Trust Company, at its principal offices in Toronto.
Distributions: Cash distributions on Units of the ETF, if any, will be made quarterly. There is no guarantee of the amount of distributions that will be paid and the distribution policy for a CIBC ETF can be changed at any time. The Manager may, in its sole discretion, change the frequency of such distributions, which change will be announced by the Manager in a press release.

Initial public offering: 50,000 Common Units and 50,000 Hedged Units will be issued at a subscription price of $20.00. The ETF is authorized to issue an unlimited number of Units, each of which represents an equal, undivided interest attributable to that series in that series. The Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
