Incorporation: The REIT is an unincorporated, open-ended real estate investment trust established by the Declaration of Trust made as of February 7, 2013, as amended and restated on December 21, 2018, and governed by the laws of the Province of Ontario.

Nature of business: The REIT owns a diversified portfolio of 84 commercial properties across Canada representing over 3.7 million square feet of gross leasable area.

Normal course issuer bid: Through the facilities of TSX, up to 1,129,165 Units (on a post-consolidation basis) during the period commencing August 25, 2018 to August 24, 2019, representing 5% of the REIT's then issued and outstanding Units (46,133 Units, on a post-consolidation basis, have been purchased to date).
Distributions: The REIT currently makes monthly cash distributions to Unitholders (subject to an election by Unitholder to utilize the DRIP) equal to $0.0525 per post-consolidated Unit, representing $0.63 per post-consolidated Unit on an annualized basis. Unitholders of record as at the close of business on the last business day of the month preceding the date of distribution will have an entitlement on and after that day to receive distributions in respect of that month on such date of distribution.
