Nature of business: The ETF seeks to replicate, to the extent reasonably possible and before fees and expenses, the performance of the TOBAM Maximum Diversification Emerging Index, or any successor thereto. It invests primarily in equity securities of emerging markets.

Distributions Cash distributions on the Units will be paid on a semi-annually basis. The Manager may, in its discretion, change the frequency of cash distributions, and will issue a press release if such a change is made or the Manager may make additional distributions if determined to be appropriate.

Offering document: The prospectus dated June 3, 2016 (the "Prospectus") and amendment No. 1 dated November 30, 2016 (together, the "Prospectus") which is available at www.SEDAR.com. Capitalized terms not otherwise defined herein are as defined in the Prospectus.
Initial public offering: 300,000 Units will be initially issued at a subscription price of $20.00 per Unit. The ETF is authorized to issue an unlimited number of Units, each of which represents an equal, undivided interest in the Units' proportionate share of the assets of the ETF. Units of the ETF are being issued and sold on a continuous basis and there is no maximum number of Units that may be issued.
