TSX Venture Exchange is pleased to announce changes to its policies regarding Security Based Compensation. Policy 4.4 - Security Based Compensation covers a variety of types of Security Based Compensation, such as deferred share units, performance share units, restricted share units and stock appreciation rights. Amendments have also been made to the Form 4G Summary Form - Security Based Compensation. More information can be found in the Security Based Compensation Bulletin Notice.

The end of the Section 16 exemption for foreign issuer directors and officers marks a major shift in SEC insider reporting. It introduces faster disclosure timelines and new transparency risks for global IR teams. Beginning March 18, 2026, directors and officers of Canadian and other foreign private issuers (FPIs) will be required to publicly report insider holdings and transactions under Section 16(a) of the U.S. Securities Exchange Act of 1934.

These OLRs seek to ensure that our rules: (i) continue to reflect the current needs and expectations of Canadian and global capital market participants; (ii) provide clear and pragmatic listing requirements; and (iii) reduce the need for discretionary waivers and exemptions, thereby reducing issuer burden, while maintaining sound requirements to protect marketplace quality.
